These Terms and Conditions ("Terms") govern your access to and use of the GcomFlow website, apps and services (together, the "Platform"), operated by GcomFlow, with its registered office at [Registered Address] ("GcomFlow", "we", "us"). By creating an account or using the Platform, you agree to these Terms and to the policies linked below, which form part of them.
1. Who we are and what we do#
GcomFlow is an online marketplace and cross-border trade platform. We connect buyers and sellers worldwide and offer related services, including:
- Marketplace listings and transactions between buyers and sellers
- GcomFlow Ads, a sponsored-listing and advertising service (see Advertising Terms)
- Global warehousing, storage and inventory management
- Fulfillment, worldwide shipping and logistics coordination
- Customs clearance support and export/import documentation assistance (see Documentation and Trade Compliance Terms)
- Onboarding support for businesses new to exporting and importing
- Demand Intelligence, a market data and analytics service (see Demand Intelligence Terms)
Unless we expressly sell an item in our own name, GcomFlow is an intermediary. The contract of sale for a product listed by a seller is between that seller and the buyer.
2. Eligibility and accounts#
- You must be at least 18 years old and able to form a binding contract under the law of your country.
- If you use the Platform for a business, you confirm you are authorised to bind that business, and "you" includes the business.
- You must give accurate, current information, keep your login details confidential, and tell us promptly at [support@gcomflow.com] about any unauthorised use.
- Sellers and users of trade services must complete our verification (KYC/KYB) checks, which may include company registration, tax IDs (such as VAT, EIN or TIN), trade and customs IDs and bank details. The documents required in each country are listed under Seller verification documents in our Privacy Policy.
- We may refuse, suspend or close accounts that fail verification or breach these Terms.
3. Seller obligations#
Sellers agree to:
- List only products they are legally permitted to sell in every country they ship to
- Provide accurate descriptions, prices, HS codes, country of origin, weights and dimensions
- Hold all licences, certifications and registrations their products need (for example FSSAI, BIS, CE, FDA or FCC)
- Honour orders, warranties and returns as stated on their listings and in our Refund Policy
- Comply with consumer protection, product safety, labelling, tax and anti-counterfeiting laws
- Not list prohibited or restricted items as defined in our Shipping Policy and applicable law
4. Buyer obligations#
Buyers agree to pay for orders they place, provide accurate delivery and import details, and pay any import duties and taxes that are not stated as included at checkout. Buyers are responsible for ensuring products may lawfully be imported into their country.
5. Fees and payments#
Subscription fees, commissions, ad credits and service charges are set out on our pricing page and in our Payment Terms. Subscribed sellers may receive reduced commission rates as described in their plan.
6. Prohibited conduct#
You must not:
- Break any law, including export control, sanctions, customs, anti-money-laundering or anti-bribery laws
- Sell counterfeit, stolen or infringing goods, or misrepresent origin or value to customs
- Trade with persons, entities or countries under sanctions applicable to GcomFlow or you
- Manipulate reviews, rankings, ads or Demand Intelligence data
- Scrape, copy or resell Platform data without our written permission
- Interfere with the Platform's security, or upload malware
- Take transactions off the Platform to avoid fees after meeting through it
7. Intellectual property#
The Platform, its software, design, trademarks and data compilations belong to GcomFlow or its licensors. You keep ownership of content you upload (listings, images, logos) and grant us a worldwide, non-exclusive, royalty-free licence to host, display, adapt and promote it for running and marketing the Platform. You confirm you have the rights to that content. Report infringement to [ip@gcomflow.com].
8. Third-party services#
We work with carriers, warehouses, customs brokers, payment processors and other partners. Their services may be subject to their own terms. We choose partners with care but are not responsible for their independent acts except as stated in our Shipping Policy.
9. Disclaimers#
The Platform is provided "as is" and "as available". We do not guarantee that it will be uninterrupted or error-free, that any listing is accurate, that any product will sell, or that customs authorities will clear any shipment. Market data and onboarding guidance are informational and are not legal, tax or financial advice.
10. Limitation of liability#
To the extent permitted by law, GcomFlow is not liable for indirect, incidental, special or consequential losses, including lost profits, lost data or business interruption. Our total liability for any claim is limited to the greater of the fees you paid us in the [3] months before the claim or [INR amount / USD amount]. Nothing in these Terms limits liability that cannot be limited by law, including rights you have as a consumer.
11. Indemnity#
You will indemnify GcomFlow and its officers, employees and partners against claims, penalties, duties and costs arising from your products, content, breach of these Terms or breach of law, including customs and export violations.
12. Suspension and termination#
You may close your account at any time. We may suspend or terminate access, hold payouts pending investigation, or remove listings if we reasonably believe you have breached these Terms or the law. Sections that by nature should survive termination (fees owed, IP, liability, indemnity, disputes) will survive.
13. Changes to these Terms#
We may update these Terms. We will post the new version with a new date and, for material changes, notify you by email or on the Platform at least [15] days before they take effect. Continued use after that date means you accept the changes.
14. Governing law and disputes#
These Terms are governed by the laws of India. You and GcomFlow will first try to resolve any dispute through our support team. If it is not resolved within [30] days, it will be referred to arbitration under the Arbitration and Conciliation Act, 1996, by a sole arbitrator, seated in [City], in English. Subject to this, courts in [City] have exclusive jurisdiction. Consumers may also have rights to bring claims in their local courts or consumer forums.
